International Product Sourcing, Custom Manufacturing and Logistics Coordination Agreement
This is a sample agreement, to be customized with transaction terms, party details and signed appendices.
Parties, Definitions and Legal Roles
The service provider’s full registered legal name, MERSIS/tax details, address and authorized signatory, and the customer’s legal name, tax details and service address, shall be stated in the agreement heading. Each order must expressly identify whether ALPES GLOBAL acts solely as sourcing/production coordinator, as a seller in a purchase and sale transaction, or as a separately authorized representative. The roles of seller, importer, exporter, manufacturer and carrier must not be conflated.
Scope of Agreement and Services
Appendix 1 (Scope of Work) shall specify which services are included: product research, prospective supplier review, price/sample coordination, OEM/ODM production monitoring, quality inspection organization, shipping planning and after-sales coordination. Services not expressly covered require a separate written quotation and approval.
Technical Specifications and Order Approval
Appendix 2 (Technical Specifications) shall identify the product, model, tariff classification where preliminarily assessed, materials, color, dimensions, tolerances, certification requirements, quantities, unit price, packaging, labels, brand, intended use and acceptance criteria. Production begins against approved specifications and order form. Verbal requests do not constitute binding order changes.
Supplier Assessment and Samples
The supplier’s identity, business activity and production capacity shall be assessed against available documents, with the method and limitations explained to the customer. Sample charges, shipping, tooling costs, timing and approval procedures shall be agreed in writing. Sample approval provides a reference for mass production but does not waive other specification requirements.
Pricing, Currency and Taxes
The quotation shall specify currency, product and service charges, unit prices, quantities, totals, any exchange-rate method, validity and price-adjustment conditions. Inclusion or exclusion of freight, insurance, import duties, VAT, customs brokerage, testing, warehousing and storage fees shall be indicated separately. Circumstances where additional charges require prior approval shall be defined.
Payment Schedule and Payment Verification
Unless the parties sign a different payment schedule, the sample commercial arrangement requires 50% of the total agreement price at order/production commencement and the remaining 50% after agreed production and inspection milestones but before the goods leave the factory. Each installment’s due date, invoicing method, beneficiary and bank account holder shall be stated in writing. Bank detail changes require verified written notice from an authorized representative; requests for third-party payments require separate confirmation.
Production Schedule and Change Management
Estimated start and completion dates, key milestones and maximum customer approval response periods shall be specified in the order appendix. Requests to change design, quantity or materials shall be assessed in writing for cost and schedule impact. Unapproved changes shall not be implemented. Causes, effects and revised schedules shall be communicated promptly if delays arise.
Quality Control, Testing and Acceptance
Appendix 3 (Quality Control Plan) shall specify inspection stages (before, during and prior to shipment), sampling methods, any AQL acceptance thresholds, testing standards, photographic/video records and report formats. Responsibility for rework, reinspection, replacement and related costs shall be agreed for nonconformities. Organizing inspections does not automatically discharge the manufacturer or contractual seller of its obligations.
Packaging, Labelling and Compliance Documents
Packaging, carton contents, palletization, barcodes, origin and warning labels, user-manual languages and required compliance documents shall be listed in writing. Responsibility for Turkish market access, product safety and regulatory compliance shall be determined by product category and each party’s legal role. Obtaining documents, verifying them and conducting official conformity assessments are distinct activities.
Delivery Terms, Transport and Transfer of Risk
The transport mode (sea, air or road), delivery point, target date, carrier selection and, where applicable, the precise Incoterms® 2020 rule (e.g., FOB, CIF, FCA or DAP) and named place shall be recorded. Cost, risk and insurance responsibilities shall follow the selected rule. Incoterms alone do not determine transfer of title or payment conditions; these must be separately agreed.
Customs, Imports and Official Procedures
Appendix 4 (Delivery and Customs Matrix) shall assign responsibility for importer registration, customs declarations, tariff classification, duties and fees, permits and inspections, origin and commercial documents. Activities requiring statutory authorization, including customs brokerage, shall be performed only by authorized persons or organizations. ALPES GLOBAL’s coordination service does not itself confer customs brokerage authorization.
Receipt, Damage and Shortage Notices
At delivery, carton counts, visible packaging damage and transport documents shall be checked, and visible damage recorded in the relevant carrier documents. For latent defects and quantity or quality disputes, notice procedures, evidence, inspection processes and contractual deadlines shall be defined subject to mandatory law. A delivery receipt does not automatically waive statutory rights.
Warranty, Defects and Remedies
The warranty period and scope shall be stated in the order appendix according to the product, manufacturer commitments, seller’s role and applicable mandatory law. No general unconditional 24-month warranty for every product is promised. In the event of defects, the availability of technical inspection, photographic/serial-number records, repair, parts, replacement, price reduction or refund shall be evaluated under the agreement and law. Statutory defect liability remains unaffected.
Confidentiality, Intellectual Property and Trademarks
Customer designs, technical drawings, quotations, supplier lists and commercial documents shall be kept confidential, subject to stated exceptions such as public information or legally required disclosure. Ownership and licensing of molds, designs, trademarks, logos and production files, and responsibility for third-party intellectual property rights, shall be set out for each order.
Personal Data and Information Security
The parties’ roles as data controller or processor and legal bases for processing contact persons’ personal data shall be assessed under applicable law. Separate Turkish data protection notices and processing agreements shall be prepared where required. Access to business documents shall be restricted; notification and cooperation procedures for data breaches shall be agreed.
Delays, Force Majeure and Notices
The consequences of events beyond reasonable control, such as natural disasters, war, embargoes, official prohibitions and major transport disruption, and the parties’ mitigation obligations shall be addressed. The affected party shall provide timely written notice, supporting documents and proposed alternatives. Force majeure does not automatically excuse every delay; actual impact and applicable law must be assessed.
Liability, Insurance and Compensation
Liability for fault, contractual breach, third-party claims and direct loss shall be expressly allocated. Any liability caps, insurance coverage and exclusions shall be negotiated mutually. Broad exemptions potentially invalid for intentional misconduct, gross negligence or liability that cannot be excluded by mandatory law shall not be used.
Cancellation, Suspension and Termination
For cancellation requests before or after production begins, the treatment of actual documented costs, offsets or refunds of paid amounts and goods produced specifically for the order shall be stated in writing. Material breach procedures shall address notice, reasonable cure periods and termination consequences. Mandatory consumer and commercial law remains applicable.
Dispute Resolution and Governing Law
The parties shall first seek resolution through written negotiation and exchange of documents. Governing law and court or arbitration arrangements shall be established in the signed agreement considering the parties’ commercial status and cross-border elements. Jurisdiction clauses remain subject to mandatory law; this sample does not assert exclusive unilateral court jurisdiction.
Notices, Document Priority and Signatures
Official notice addresses, registered electronic mail where applicable, authorized contacts and notice methods shall be specified. In the event of inconsistent documents, priority shall be: signed special terms, order form, technical specifications, quality plan and general conditions. Agreement date, page/appendix counts, signature authority and number of originals shall be verified.
